마지막으로, 최근 우리나라 한국화학연구원에서 개발한 ‘엘라스토머 소재’가 있습니다. 이 소재는 지금껏 개발된 소재들에 비해 더욱 특별합니다. 그 이유는 치유되는 온도가 타 소재에 비해 낮고 치유되는 데 걸리는 시간도 매우 짧기 때문입니다.
앞서 언급한 대부분의 열반응 자가 치유 고분자는 그림 2를 보면 알 수 있듯이, 50° C가 넘어야 제대로 된 치유가 진행되었습니다. 하지만 엘라스토머 소재는 20 ~ 30° C의 상온에서도 치유가 되기 때문에 활용 범위가 훨씬 넓습니다.
또한 바로 앞에서 언급한 바이오 콘크리트의 경우, 박테리아를 통해 0.8mm의 구멍이 메워지는데 3주의 시간이 걸린다고 합니다. 하지만 엘라스토머 소재를 절단하고 절단면끼리 접촉시키면 2시간 만에 접촉면의 80%가 회복되고 6시간이 지나면 5kg의 아령을 매달 수 있을 정도로 완전히 회복됩니다.
이런 장점을 가진 엘라스토머 소재는 기존에 많이 쓰이는 열가소성 폴리우레탄에 황 화합물을 혼합하여 개발하였습니다. 열가소성 폴리우레탄은 이미 상업화되어 쓰이고 있기 때문에 이를 가공한 엘라스토머 소재도 쉽게 상업화될 것이라고 많은 전문가들이 기대합니다.

1991년에 개봉한 영화 ‘터미네이터 2’를 본 사람이라면 주인공을 암살하기 위해 미래에서 온 로봇과의 마지막 대결 장면을 기억할 것이다. 아무리 총에 맞아도 곧바로 치유되는 무시무시한 로봇을 가까스로 물리치는 해당 장면은 영화의 하이라이트였다. 특히 불사조 같은 악당 로봇 T-1000은 이후 시리즈에도 모습을 바꿔 계속 등장할 만큼 관객들의 뇌리에 깊은 인상을 남겼다.

영화가 과학자들에게 영감을 준 것일까. T-1000의 ‘자가 치유’ 개념은 과학자들의 연구에도 영향을 미쳤다. 2000년대부터 자가 치유 물질이 속속 개발되기 시작한 것이다. 자가 치유 물질은 말 그대로 균열이나 손상된 기능을 스스로 치료하는 물질을 말한다. 처음에는 고분자 화합물 중심으로 개발되더니, 최근에는 세균을 이용해 스스로 콘크리트의 균열을 메우는 바이오 콘크리트까지 개발되고 있다.
회복 캡슐에서 회복 기능 탑재한 고분자까지

초창기 개발된 자가 치유 고분자 물질은 ‘마이크로캡슐’을 이용하는 경우가 많았다. 2001년 스콧 화이트 미국 일리노이주립대 항공우주공학과 교수팀이 처음 개발한 방식이다. 액체 화합물을 머리카락 굵기 정도로 작은 다량의 캡슐에 넣고, 이를 다시 플라스틱과 섞어 굳힌 형태다.
플라스틱에 균열이 생기면 캡슐에서 화합물이 새어 나와 빈틈을 메운다. 당시로선 획기적인 발명이었지만 캡슐이 일회용이라 똑같은 부위에 균열이 생기면 속수무책이라는 단점이 있었다. 그래서 최근에는 물체에 자가 치유 물질을 공급하는 통로를 만들어 계속 ‘리필’해주는 방식이 도입됐다.

아예 고분자 재료 자체가 자가 치유 기능을 갖도록 만드는 연구도 활발히 진행 중이다. 분자들 사이에 존재하는 서로 끌어당기는 힘을 이용해 끊어져도 몇 분이 지나면 다시 원래대로 달라 붙게하는 방식이다.
한국화학연구원에서는 감귤에서 추출한 구연산과 숙신산을 이용해서 강력한 수소결합을 형성해 끊어져도 다시 붙는 고분자를 개발했다고 올해 초 발표했다. 이 고분자로 만든 3mm 두께의 밴드를 칼로 자른 뒤 단면을 맞대 놓자 1분 뒤 1kg의 추를 들어 올릴 만큼 회복됐다.

그 밖에도 원래의 형태에서 변형될 경우 특정한 자극을 줬을 때 다시 형태가 복원되는 형상기억 고분자, 외부에서 자극이 주어지면 화학반응이 일어나 손상을 감시하는 손상감지형 고분자 등 여러 종류의 자가 치유 고분자 물질이 개발되고 있다.
다양한 자가 치유 물질 활용 사례

이런 자가 치유 물질은 최근 상용화 수준에 이를만큼 성능이 좋아지고 있다. 대표적인 것이 미국항공우주국(NASA)의 기술이다. NASA는 2030년까지 우주선과 우주복에 자가 치유 기술을 도입하는 걸 목표로 연구 개발을 진행하고 있다. 작년에는 우주선 구조물에 산소에 반응하는 자가 치유 물질을 넣는 기술을 개발했다. 우주선에 미세한 구멍이 생겨서 산소가 유출되는 상황이 생기면 즉시 반응해서 구멍을 메워주는 것이다.
또 NASA는 우주의 강력한 자외선과 열로 손상된 우주복 섬유를 치유하기 위해 개발하던 기술을 민간 기업과 공유했다. 의류 기업 코알라트리는 NASA의 기술을 활용해 구멍이 뚫렸을 때 손톱으로 문지르면 다시 복구되는 ‘힐로 테크(Hilo Tech)’라는 자가 치유 섬유를 개발했다. 이 소재로 만든 옷은 나무나 금속에 찔려서 구멍이 뚫렸을 때 손톱으로 살살 문지르면 구멍을 메울 수 있다. 발수코팅은 물론이며 가볍고 쉽게 접을 수 있어서 유용하다.

한국과학기술연구원(KIST) 연구팀은 송전 케이블을 이어주는 중간접속함이라는 부위가 손상됐을 때 자가 치유할 수 있는 기술을 개발했다. 땅속에 매설된 송전 케이블의 중간접속함은 국내에만 약 13만 8760개가 되는데, 2001년부터 2014년까지 총 43회나 고장을 일으켰다.
특히 2011년에는 고장이 정전으로 이어져 재산 피해를 내기도 했다. 연구팀은 중간접속함에서 전선을 감싸 외부 방전을 막아주는 실리콘에 자가 치유 고분자를 넣은 캡슐을 섞었다. 실리콘에 균열이 생겼을 때 캡슐이 터져 에폭시 수지와 가교 물질이 나와 균열을 메우고 굳혀주는 것이다. 이 기술이 실제 현장에 적용되면 전력회사의 큰 고민을 덜어줄 것으로 기대된다.

네덜란드 델프트 공대 연구팀은 세균과 젖산칼슘을 섞어 만든 캡슐을 콘크리트 속에 섞어 넣은 자가 치유 기술을 2011년에 개발했다. 콘크리트가 손상되면 이 세균이 수분을 만나 젖산칼슘을 먹이로 콘크리트를 채울 석회석을 생성하는 것이다. 이 자가 치유 콘크리트는 작년부터 1686년 지어진 네덜란드 헤트 루 궁전을 개축하는 공사에 쓰이고 있으며, 현재 한국에서도 유통되고 있다.

한편, 국내 연구팀은 물리적, 전기적으로 손상돼도 스스로 복구하는 디스플레이용 발광소재를 지난해 개발했다. 외부 충격이나 전기적인 손상에 취약한 스마트폰 디스플레이에 활용할 수 있는 자가 치유 소재이다. 소재를 절단해도 30분이면 원상복구되고, 전기적인 과부하로 거뭇거뭇 한 변색이 생겨도 전원을 끄면 원래대로 돌아오기 때문에 향후 스마트폰과 웨어러블 디스플레이 소재로 기대되는 소재다.
과학자들이 실제로 자가 치유 기술을 영화 터미네이터 시리즈에서 착안했는지는 알 수 없다. 하지만 과학자들의 상상력과 노력은 영화에서 보여준 것보다 훨씬 다양한 방면에서 실용적으로 자가 치유 기술을 활용할 수 있게 만들었다. 앞으로 자가 치유 물질이 우리의 삶을 어떻게 바꿔 놓을지 함께 지켜보자.

공상과학(SF) 영화 ‘엑스맨’과 ‘터미네이터’는 국내에서 큰 사랑을 받은 SF 영화들입니다. 두 영화에서 각각 등장하는 울버린과 T-1000은 지금까지 발표된 수많은 캐릭터 중에서 사람들의 기억에 남은 몇 안 되는 인기 캐릭터입니다. 두 캐릭터의 매력은 외부의 도움 없이 스스로 상처를 복원하는 자가치유(self-healing) 능력을 갖고 있다는 것입니다.그들은 총이나 칼에 맞아도 즉시 회복돼 불사신에 가깝습니다. 아프지 않고 다치지도 않고 더 나아가 죽지 않는 것은 인간이 가지고 싶은 가장 원초적인 욕구입니다. 이런 이유 때문에 이들이 크게 매력적으로 다가오는 게 아닐까 합니다.아쉽게도 인간이 영화와 같은 극적인 자기-치유 능력을 갖는 것은 현재 과학기술로는 어렵습니다. 자가치유 능력은 영화 속 능력만큼 극적이지는 않지만 생물이 무생물과 대비돼 갖는 주요 특징입니다. 자동차 접촉 사고를 내거나 휴대폰을 떨어뜨려 액정이 깨졌을 때 ‘생물처럼 이것들이 스스로 치유되면 어떨까?’ 하는 상상을 해봤을 겁니다. 이 기술은 앞서 언급한 우리의 소망보다 훨씬 우리 가까이에 왔습니다. 실제로 과학자들이 자가치유 물질을 개발하고 있습니다.자가치유 소재 개발 원리는 액체와 고체의 장점을 동시에 지닌 물질을 만드는 것입니다. ‘부부싸움은 칼로 물 베기다’라는 속담은 ‘부부는 싸워도 쉽게 화해한다’는 뜻입니다. 현대사회에 맞지 않는 이 속담을 꺼낸 이유는 “물을 아무리 칼로 베어도 흉터가 남지 않는다”는 물리적 현상을 독자들에게 오래 기억하게 하기 위함입니다. 칼로 베어낸 공간을 물 분자들이 흘러서 메꿔주기 때문입니다. 실제로 터미네이터의 T-1000은 액체 상태로 변해 자가치유한 뒤 본래의 모습으로 돌아옵니다. 이런 이유로 국내에서 T-1000을 액체 터미네이터라고 불렀습니다. 하지만, 어떤 소재가 액체 같은 특성만 가진다면 흐르기 때문에 제품에 적용할 수 없습니다. 소재를 단단하게 하기 위해서는 흐르지 않는 고체 같은 특성을 가져야 합니다. 이것은 또 반대급부로 소재의 자가치유 능력을 떨어뜨립니다. 소재의 자가치유 능력과 단단한 특성은 동시에 달성하기 어려운 모순에 빠지게 됩니다. 따라서, 지금까지 개발된 자가치유 소재는 젤리처럼 말랑한 것이 대부분입니다.한국화학연구원(이하 화학연)에서는 이런 모순점을 극복하고 단단하면서도 자가치유 효율이 높은 소재를 개발했습니다. 개발한 자가치유 소재는 터미네이터의 T-1000처럼 자가치유 시에는 액체처럼 말랑해졌다가 다시 외부 충격에 대비해 스스로 단단하게 변하는 물질입니다. 화학연이 사용한 첫 번째 원리는 다이내믹 결합(dynamic bond)입니다.최근 국내외에서 큰 인기를 얻고 있는 넷플릭스 드라마 ‘오징어 게임’에서 영감을 받아 자가치유 현상을 설명합시다. 자가치유 소재에 일어나는 분자 운동을 여러분이 운동장에서 하는 놀이로 상상해 봅시다. 일반적인 고분자 소재를 구성하는 공유 결합은 한 번 형성되면 쉽게 끊어지지 않습니다. 운동장 놀이에서 공유 결합 팀은 사람들이 잡고 있는 손을 놓지 않아야 합니다. 여기 술래(늑대)가 나타나면 손을 잡은 채 도망가야 하는데 움직임이 둔해져서 사람들 사이의 대형이 쉽게 무너집니다. 술래가 사라져도 원래 대형을 회복하는 데 시간이 많이 걸리죠. 화학연이 사용한 다이내믹 결합은 붙었다 떨어지는 것을 반복할 수 있습니다. 다이내믹 결합 팀은 손을 필요에 따라 놓았다가 다시 잡을 수 있는 권한이 있습니다. 이 팀은 술래가 나타나면 손을 놓고 다시 잡으면서 대형을 무너뜨리지 않고 손쉽게 도망다닐 수 있습니다. 술래가 사라지면 다시 본래 대형으로 쉽게 돌아갈 수 있는 것입니다.화학연이 사용한 두 번째 원리는 ‘외부 충격 응답(stress-responsive)’입니다. 이 소재는 외부에서 오는 충격을 감지해 대비합니다. 강한 충격이 오면 스스로 크리스탈처럼 단단한 물질로 변하고, 외부의 충격이 사라지면 다이내믹 결합을 갖는 분자들이 자유롭게 움직입니다. 앞서 사용한 설명을 이어간다면, 외부 충격이 사라진 상태에서 다이내믹 결합 팀은 본래의 대형을 복구하기 위해 자유롭게 움직일 수 있는 상태가 됩니다.자가치유 물질은 제품의 부품 소재로서 매력적입니다. 자가치유 물질이 의류, 신발, 타이어, 자동차 등에 적용될 경우 제품 수명을 늘릴 수 있어 친환경적입니다. 사람들은 휴대폰을 주머니에 구겨 넣거나, 가방에 TV를 담고 다니거나, 비좁은 주차공간에 자동차를 꽉 끼워 넣길 원합니다. 제품 변형 시 발생하는 작은 상처들이 계속해서 치유돼야 이런 제품을 제작할 수 있습니다. 자가치유 소재는 앞으로 새로운 첨단 제품을 개발하는 데 필수적인 요소가 될 것입니다.또한, 자가치유 물질은 극한 환경에서 사용되는 제품의 사후 관리를 용이하게 합니다. 지하에 묻은 전선이나 해저 케이블의 경우 피복이 파손되더라도 수리가 매우 어렵죠. 자가치유 물질로 피복을 만들어 전선 및 케이블을 제작할 경우 손상을 스스로 회복하기 때문에 사후 관리가 쉬워집니다. 같은 원리로 주택에 매복된 전선과 케이블에도 적용할 수 있을 것으로 전망합니다.자가치유 소재(self-healing material)는 외부의 충격으로 상처가 나면 생물처럼 스스로 회복하는 소재입니다. 자가치유 소재로 제품을 만들면 수명이 오래 가기 때문에 친환경적입니다. 롤러블(rollable), 스트레처블(stretchable) 디스플레이와 같은 첨단 전자제품에 적용할 수 있는 기초 원천 소재입니다. 극한적 환경에서 수리를 자주할 수 없는 제품의 사후 관리를 용이하게 합니다.

자가 치유 소재는 상처를 스스로 치유하는 피부처럼 외부 환경에 의해 손상돼도 스스로 회복할 수 있는 고분자 재료이다.
의류·신발·타이어·자동차·폴더블 디스플레이 등 분야에서 소재 수명을 높이기 위해 자가 치유 고분자를 적용하려는 연구가 활발히 진행되고 있지만, 무른 특성 때문에 인장 강도(끊어질 때까지 잡아당기는 힘)가 약하다는 문제가 있다.

자가 치유가 잘 되려면 분자 간 결합이 느슨한 젤리처럼 부드러운 상태가 돼야 하기 때문이다.
화학연 오동엽·박제영·황성연 박사 연구팀은 단단하면서도 자가 치유 능력이 좋은 모순된 속성을 갖는 새로운 소재를 개발했다.

외부 마찰이나 충격을 받으면 자신을 보호하기 위해 순식간에 물질의 분자 결합이 견고해졌다가 이후 분자 이동이 자유로운 상태로 돌아가 손상을 회복하는 원리이다.
외부 압력의 정도에 따라 단단한 고체와 젤리 상태를 오가면서 충격 흡수를 조절할 수 있다.
외부 충격에 따라 단단함과 부드러움을 반복하는 카보네이트 화합물을 기존 상용 소재인 열가소성 폴리우레탄(TPU)에 도입했다.
개발된 소재는 인장 강도가 43MPa(메가파스칼) 이상으로, 신발 밑창으로 쓰이는 폴리우레탄 소재와 비슷한 수준이다.
기존 자가 치유 소재의 인장 강도 최고 기록은 일본 동경대나 이화학연구소(RIKEN)의 20∼30MPa 정도였다.
오동엽 박사는 “차세대 롤러블·폴더블 스마트폰을 여러 번 접었다 펴는 과정에서 본체가 하얗게 변하는 등 피로 손상 문제를 해결하는 데 기여할 것”이라고 말했다.

스스로 복구하는 자가치유 화학 신소재
도로나 교량, 건축물에 이상이 생겼을 때 스스로 치유해서 재난을 미리 방지하고, 스마트폰이나 전자제품이 파손됐을 때 알아서 다시 원상복구 된다면? SF 영화 속에서나 나올 법한 이야기가 이제 머지않아 현실로 올 수도 있을 것 같습니다. 바로 ‘자율적으로 수명을 제어하는 화학소재’에 대한 연구와 개발이 적극적으로 이뤄지고 있기 때문입니다.
‘자율적으로 수명을 제어하는 화학소재’는 한국과학기술기획평가원(KISTEP)에서 발표한 ‘2019년 10대 미래유망기술’ 중 하나이기도 한데요. 국내뿐 아니라 전 세계적으로도 관심을 모으고 있는 자가치유 화학 신소재에 대해 알아보도록 하겠습니다.
#자가치유(self-healing) 소재란?

자가치유 소재란 말 그대로, 스스로 치유하는 소재를 의미하는데요. 인체에 상처가 생겨도 시간이 지나면 저절로 치유되듯, 금속이나 플라스틱으로 이뤄진 물질에 자가치유 기술을 삽입해 손상되거나 망가져도 스스로 복구할 수 있도록 하는 고분자 신소재입니다.
자가치유 소재에 대한 연구는 꾸준히 진행돼 왔었는데요, 치유과정이나 치유 후 발생하는 문제점들이 하나씩 밝혀지면서 점점 더 기술은 고도화되고 기존의 한계를 극복하는 시도들이 계속되고 있습니다.

2000년대 초반, 일리노이대학 베크만 연구소는 개환형 가교반응이 가능한 ‘다이사이클로펜타다이엔(dicyclopentadiene)’이 함유된 마이크로 캡슐을 개발했는데요, 마이크로캡슐이 함유된 고분자 매트릭스가 손상될 경우 내장된 마이크로캡슐이 깨지면서 다이사이클로펜타다이엔이 파단면으로 흘러나오게 되고 가교반응으로 고체화되어 파단면을 수복하는 캡슐형 자가치유 방식을 소개한 바 있습니다.

하지만 긴 치유시간과 제한적인 치유 매체의 양, 촉매의 불안정성, 계면 이질성, 그리고 한번 치유된 부분은 다시 치유되기 어렵다는 단점이 있었습니다.
자가치유 고분자와 #지능형 소재기술의 결합
앞서 소개 드린 것처럼 2000년대 초반의 자가치유 기술은 반복적인 치유가 어렵고, 절단 및 손실된 부분에 대한 치유에 대한 과제, 그리고 손상 및 치유에 대한 감지 필요성 등과 같은 문제점들을 가지고 있었습니다. 이를 극복하기 위해 지능형 소재기술, 즉 ‘형상기억’, ‘자가집합 상분리’, ‘손상감지’ 기술이 병합된 지능형 자가치유 고분자 기술이 개발되고 있습니다.

l 형상기억 고분자
형상기억 고분자란, 변형이나 손상이 발생할 경우 일정자극을 다시 주게 되면 원래의 형태를 되찾을 수 있는 지능형 고분자로, 이 원리를 이용해 스크래치나 찌그러진 자동차 부위가 스스로 원래 모습으로 돌아갈 수 있도록 할 수 있습니다.
l 자가집합 상분리형 고분자
자가치유 고분자는 치유 특성상 고무 물성으로 기계적 강도가 약해 구조재료로서 사용이 어렵다는 단점이 있었는데요. 높은 기계적 물성으로 반복적 치유가 가능한 ‘열가소성 자가치유 탄성체(thermoplastic self-healing elastomer)’에 대한 연구개발이 이뤄지고 있습니다.
l 손상감지형 고분자
손상감지형 고분자는 손상부위와 정도를 감지해 상황에 맞는 적절한 처치를 스스로 할 수 있는 기술인데요. 재료의 수명을 확인하고 안정적으로 제품을 사용할 수 있도록 하는 역할을 합니다. 손상감지 방법으로는 초음파, 압전 재료, 광섬유, 외부자극에 의해 기계 화학적으로 활성화되는 화학반응 등을 이용한 감지 등이 있습니다.
자가치유 신소재의 #미래
지난 6월 한국과학기술연구원(KIST)은 손상되거나 완전히 절단되더라도 손상 이전과 똑같은 모습으로 원상복구 하는, 스스로 회복되고 접합되는 자가치유 신소재를 개발했다고 발표한 바 있는데요. 자가치유 신기술은 앞으로 더욱 발전해 도로, 다리, 건축물, 선박, 자동차, 전자전기제품, 의료기기 등 다양한 분야에 적용돼 생활 속 안전을 지켜주고 유지보수 비용을 절감해줄 수 있습니다. 또한 파손이나 손상에 의한 제품의 쓰레기 배출도 줄어들 수 있습니다. 새로운 화학 기술이 우리의 생활에 어떤 변화를 가져다 줄지 기대가 됩니다.

신축성 자가치유 소재의 개발과 활용방안
Materials Square Customer Agreement
This Materials Square Customer Agreement (this “Agreement”) contains the terms and conditions that govern your access to and use of the “Materials Square” Service Offerings (as defined below) and is an agreement between Virtual Lab, Inc. (“Virtual Lab,” “we,” “us,” or “our”) and you or the entity you represent (“you” or “your”). This Agreement takes effect when you click an “Sign In” button or, if earlier, when you use any of the Service Offerings (the “Effective Date”). You represent to us that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are entering into this Agreement for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity.
1. Use of the Service Offerings.
1.1 Generally.You may access and use the Service Offerings in accordance with this Agreement. Service Terms apply to certain Service Offerings. You will comply with the terms of this Agreement and all laws, rules and regulations applicable to your use of the Service Offerings.
1.2 Your Account.To access the Services, you must have an “Materials Square” account associated with a valid email address and a valid form of payment. Unless explicitly permitted by the Service Terms, you will only create one account per email address.
1.3 Third-Party Content.Third-Party Content may be used by you at your election. Third-Party Content is governed by this Agreement and, if applicable, separate terms and conditions accompanying such Third-Party Content, which terms and conditions may include separate fees and charges.
2. Changes.
2.1 To the Service Offerings. We may change or discontinue any or all of the Service Offerings or change or remove functionality of any or all of the Service Offerings from time to time. We will notify you of any material change to or discontinuation of the Service Offerings.
3. Security and Data Privacy.
3.1 Security. Without limiting Section 10 or your obligations under Section 4.2, we will implement reasonable and appropriate measures designed to help you secure Your Content against accidental or unlawful loss, access or disclosure.
3.2 Data Privacy. You consent to the storage of Your Content in, and transfer of Your Content into, the “Amazon Web Services” Server in which we have an account(“Materials Square Storage”). We will not access or use Your Content except as necessary to maintain or provide the Service Offerings, or as necessary to comply with the law or a binding order of a governmental body. We will not (a) disclose Your Content to any government or third party or (b) subject to Section 3.3, move Your Content from the “Materials Square Storage”; except in each case as necessary to comply with the law or a binding order of a governmental body. Unless it would violate the law or a binding order of a governmental body, we will give you notice of any legal requirement or order referred to in this Section 3.2. We will only use your Account Information in accordance with the Privacy Policy, and you consent to such usage. The Privacy Policy does not apply to Your Content.
3.3 Service Attributes. To provide billing and administration services, we may process Service Attributes in the Virtual Lab. To provide you with support services initiated by you and investigate fraud, abuse or violations of this Agreement, we may process Service Attributes where we maintain our support and investigation personnel.
4. Your Responsibilities.
4.1 Your Accounts.Except to the extent caused by our breach of this Agreement, (a) you are responsible for all activities that occur under your account, regardless of whether the activities are authorized by you or undertaken by you, your employees or a third party (including your contractors, agents or End Users), and (b) we and our affiliates are not responsible for unauthorized access to your account.
4.2 Your Content. You will ensure that Your Content, Your Submissions and Your and End Users’ use of Your Content, Your Submissions or the Service Offerings will not violate any of the Policies or any applicable law. You are solely responsible for the development, content, operation, maintenance, and use of Your Content and Your Submissions.
4.3 Your Security and Backup. You are responsible for properly configuring and using the Service Offerings and otherwise taking appropriate action to secure, protect and backup your accounts and Your Content in a manner that will provide appropriate security and protection, which might include use of encryption to protect Your Content from unauthorized access and routinely archiving Your Content.
4.4 Log-In Credentials and Account Keys. “Materials Square” log-in credentials and private keys generated by the Services are for your internal use only and you will not sell, transfer or sublicense them to any other entity or person, except that you may disclose your private key to your agents and subcontractors performing work on your behalf.
5. Fees and Payment.
5.1 Service Fees. We calculate and bill fees and charges hourly. We may bill you more frequently for fees accrued if we suspect that your account is fraudulent or at risk of non-payment. You will pay us the applicable fees and charges for use of the Service Offerings as using one of the payment methods we support. All amounts payable by you under this Agreement will be paid to us without setoff or counterclaim, and without any deduction or withholding. Fees and charges for any new Service or new feature of a Service will be effective when we post updated fees and charges on the “Materials Square” Site, unless we expressly state otherwise in a notice. We may increase or add new fees and charges for any existing Services you are using by giving you at least 15 days’ prior notice. We may elect to charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) on all late payments.
5.2 Taxes. Each party will be responsible, as required under applicable law, for identifying and paying all taxes and other governmental fees and charges (and any penalties, interest, and other additions thereto) that are imposed on that party upon or with respect to the transactions and payments under this Agreement. All fees payable by you are exclusive of Indirect Taxes. We may charge and you will pay applicable Indirect Taxes that we are legally obligated or authorized to collect from you. You will provide such information to us as reasonably required to determine whether we are obligated to collect Indirect Taxes from you. We will not collect, and you will not pay, any Indirect Tax for which you furnish us a properly completed exemption certificate or a direct payment permit certificate for which we may claim an available exemption from such Indirect Tax. All payments made by you to us under this Agreement will be made free and clear of any deduction or withholding, as may be required by law. If any such deduction or withholding (including but not limited to cross-border withholding taxes) is required on any payment, you will pay such additional amounts as are necessary so that the net amount received by us is equal to the amount then due and payable under this Agreement. We will provide you with such tax forms as are reasonably requested in order to reduce or eliminate the amount of any withholding or deduction for taxes in respect of payments made under this Agreement.
6. Temporary Suspension.
6.1 Generally. We may suspend your or any End User’s right to access or use any portion or all of the Service Offerings immediately upon notice to you if we determine:
(a) your or an End User’s use of the Service Offerings (i) poses a security risk to the Service Offerings or any third party, (ii) could adversely impact our systems, the Service Offerings or the systems or Content of any other “Materials Square” customer, (iii) could subject us, our affiliates, or any third party to liability, or (iv) could be fraudulent;
(b) you are, or any End User is, in breach of this Agreement;
(c) you are in breach of your payment obligations under Section 5; or
(d) you have ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of your assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding.
6.2 Effect of Suspension. If we suspend your right to access or use any portion or all of the Service Offerings. You remain responsible for all fees and charges you incur during the period of suspension.
7. Term; Termination.
7.1 Term. The term of this Agreement will commence on the Effective Date and will remain in effect until terminated under this Section 7. Any notice of termination of this Agreement by either party to the other must include a Termination Date that complies with the notice periods in Section 7.2.
7.2 Termination.
(a) Termination for Convenience. You may terminate this Agreement for any reason by providing us notice and closing your account for all Services for which we provide an account closing mechanism. We may terminate this Agreement for any reason by providing you at least 15 days’ advance notice.
(b) Termination for Cause.
(i) By Either Party. Either party may terminate this Agreement for cause if the other party is in material breach of this Agreement and the material breach remains uncured for a period of 15 days from receipt of notice by the other party. No later than the Termination Date, you will close your account.
(ii) By Us. We may also terminate this Agreement immediately upon notice to you (A) for cause if we have the right to suspend under Section 6, (B) if our relationship with a third-party partner who provides software or other technology we use to provide the Service Offerings expires, terminates or requires us to change the way we provide the software or other technology as part of the Services, or (C) in order to comply with the law or requests of governmental entities.
7.3 Effect of Termination.
(a) Generally. Upon the Termination Date:
(i) except as provided in Section 7.3(b), all your rights under this Agreement immediately terminate;
(ii) you remain responsible for all fees and charges you have incurred through the Termination Date and are responsible for any fees and charges you incur during the post-termination period described in Section 7.3(b);
(iii) you will immediately return or, if instructed by us, destroy all “Materials Square” Content in your possession; and
(iv) Sections 4.1, 5, 7.3, 8 (except the license granted to you in Section 8.4), 9, 10, 11, 13 and 14 will continue to apply in accordance with their terms.
(b) Post-Termination. Unless we terminate your use of the Service Offerings pursuant to Section 7.2(b), during the 15 days following the Termination Date:
(i) we will not take action to remove from the “Materials Square” systems any of Your Content as a result of the termination; and
(ii) we will allow you to retrieve Your Content from the Services only if you have paid all amounts due under this Agreement.
For any use of the Services after the Termination Date, the terms of this Agreement will apply and you will pay the applicable fees at the rates under Section 5.
8. Proprietary Rights.
8.1 Your Content. Except as provided in this Section 8, we obtain no rights under this Agreement from you (or your licensors) to Your Content. You consent to our use of Your Content to provide the Service Offerings to you and any End Users.
8.2 Your Submissions. Your Submissions will be governed by the terms of the Apache License, Version 2.0, unless you request and we consent in writing to another license supported by us.
8.3 Adequate Rights.You represent and warrant to us that: (a) you or your licensors own all right, title, and interest in and to Your Content, Your Submissions and Suggestions; (b) you have all rights in Your Content, Your Submissions and Suggestions necessary to grant the rights contemplated by this Agreement; and (c) none of Your Content, Your Submissions or End Users’ use of Your Content, Your Submissions or the Service Offerings will violate the Acceptable Use Policy.
8.4 Service Offerings License. We or our licensors own all right, title, and interest in and to the Service Offerings, and all related technology and intellectual property rights. Subject to the terms of this Agreement, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferrable license to do the following: (a) access and use the Services solely in accordance with this Agreement; and (b) copy and use the “Materials Square” Content solely in connection with your permitted use of the Services. Except as provided in this Section 8.4, you obtain no rights under this Agreement from us, our affiliates or our licensors to the Service Offerings, including any related intellectual property rights. Some “Materials Square” Content and Third-Party Content may be provided to you under a separate license, such as the Apache License, Version 2.0, or other open source license. In the event of a conflict between this Agreement and any separate license, the separate license will prevail with respect to the “Materials Square” Content or Third-Party Content that is the subject of such separate license.
8.5 License Restrictions. Neither you nor any End User will use the Service Offerings in any manner or for any purpose other than as expressly permitted by this Agreement. Neither you nor any End User will, or will attempt to (a) modify, distribute, alter, tamper with, repair, or otherwise create derivative works of any Content included in the Service Offerings (except to the extent Content included in the Service Offerings is provided to you under a separate license that expressly permits the creation of derivative works), (b) reverse engineer, disassemble, or decompile the Service Offerings or apply any other process or procedure to derive the source code of any software included in the Service Offerings (except to the extent applicable law doesn’t allow this restriction), (c) access or use the Service Offerings in a way intended to avoid incurring fees or exceeding usage limits or quotas, or (d) resell or sublicense the Service Offerings. During and after the Term, you will not assert, nor will you authorize, assist, or encourage any third party to assert, any intellectual property infringement claim regarding any Service Offerings you have used. You may only use the “Materials Square” Marks in accordance with the Trademark Use Guidelines. You will not misrepresent or embellish the relationship between us and you (including by expressing or implying that we support, sponsor, endorse, or contribute to you or your business endeavors). You will not imply any relationship or affiliation between us and you except as expressly permitted by this Agreement.
8.6 Suggestions. If you provide any Suggestions to us or our affiliates, we and our affiliates will be entitled to use the Suggestions without restriction. You hereby irrevocably assign to us all right, title, and interest in and to the Suggestions and agree to provide us any assistance we require to document, perfect, and maintain our rights in the Suggestions.
9. Indemnification.
9.1 General.You will defend, indemnify, and hold harmless us, our affiliates and licensors, and each of their respective employees, officers, directors, and representatives from and against any Losses arising out of or relating to any third-party claim concerning: (a) your or any End Users’ use of the Service Offerings (including any activities under your “Materials Square” account and use by your employees and personnel); (b) breach of this Agreement or violation of applicable law by you, End Users, Your Content or Your Submissions; (c) Your Content or Your Submissions or the combination of Your Content or Your Submissions with other applications, content or processes, including any claim involving alleged infringement or misappropriation of third-party rights by Your Content or Your Submissions, or by the use, development, design, production, advertising or marketing of Your Content or Your Submissions; or (d) a dispute between you and any End User. You will reimburse us for reasonable attorneys’ fees, as well as our employees’ and contractors’ time and materials spent responding to any third party subpoena or other compulsory legal order or process associated with third party claims described in (a) through (d) above at our then-current hourly rates.
9.2 Process. We will promptly notify you of any claim subject to Section 9.1, but our failure to promptly notify you will only affect your obligations under Section 9.1 to the extent that our failure prejudices your ability to defend the claim. You may: (a) use counsel of your own choosing (subject to our written consent) to defend against any claim; and (b) settle the claim as you deem appropriate, provided that you obtain our prior written consent before entering into any settlement. We may also assume control of the defense and settlement of the claim at any time.
10. Disclaimers.
THE SERVICE OFFERINGS ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, OR TO THE EXTENT ANY STATUTORY RIGHTS APPLY THAT CANNOT BE EXCLUDED, LIMITED OR WAIVED, WE AND OUR AFFILIATES AND LICENSORS (A) MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE REGARDING THE SERVICE OFFERINGS OR THE THIRD-PARTY CONTENT, AND (B) DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED OR EXPRESS WARRANTIES (I) OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, (II) ARISING OUT OF ANY COURSE OF DEALING OR USAGE OF TRADE, (III) THAT THE SERVICE OFFERINGS OR THIRD-PARTY CONTENT WILL BE UNINTERRUPTED, ERROR FREE OR FREE OF HARMFUL COMPONENTS, AND (IV) THAT ANY CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR ALTERED.
11. Limitations of Liability.
WE AND OUR AFFILIATES AND LICENSORS WILL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, GOODWILL, USE, OR DATA), EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE RESPONSIBLE FOR ANY COMPENSATION, REIMBURSEMENT, OR DAMAGES ARISING IN CONNECTION WITH: (A) YOUR INABILITY TO USE THE SERVICES, INCLUDING AS A RESULT OF ANY (I) TERMINATION OR SUSPENSION OF THIS AGREEMENT OR YOUR USE OF OR ACCESS TO THE SERVICE OFFERINGS, (II) OUR DISCONTINUATION OF ANY OR ALL OF THE SERVICE OFFERINGS, OR, (III) ANY UNANTICIPATED OR UNSCHEDULED DOWNTIME OF ALL OR A PORTION OF THE SERVICES FOR ANY REASON; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (C) ANY INVESTMENTS, EXPENDITURES, OR COMMITMENTS BY YOU IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR ACCESS TO THE SERVICE OFFERINGS; OR (D) ANY UNAUTHORIZED ACCESS TO, ALTERATION OF, OR THE DELETION, DESTRUCTION, DAMAGE, LOSS OR FAILURE TO STORE ANY OF YOUR CONTENT OR OTHER DATA. IN ANY CASE, OUR AND OUR AFFILIATES’ AND LICENSORS’ AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAY US UNDER THIS AGREEMENT FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE.
12. Modifications to the Agreement.
We may modify this Agreement (including any Policies) at any time by posting a revised version on the “Materials Square” Site or by otherwise notifying you in accordance with Section 13.10; provided. By continuing to use the Service Offerings after the effective date of any modifications to this Agreement, you agree to be bound by the modified terms. It is your responsibility to check the “Materials Square” Site regularly for modifications to this Agreement. We last modified this Agreement on the date listed at the end of this Agreement.
13. Miscellaneous.
13.1 Assignment. You will not assign or otherwise transfer this Agreement or any of your rights and obligations under this Agreement, without our prior written consent. Any assignment or transfer in violation of this Section 13.1 will be void. Subject to the foregoing, this Agreement will be binding upon, and inure to the benefit of the parties and their respective permitted successors and assigns.
13.2 Entire Agreement.This Agreement incorporates the Policies by reference and is the entire agreement between you and us regarding the subject matter of this Agreement. This Agreement supersedes all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of this. We will not be bound by, and specifically object to, any term, condition or other provision that is different from or in addition to the provisions of this Agreement (whether or not it would materially alter this Agreement) including for example, any term, condition or other provision (a) submitted by you in any order, receipt, acceptance, confirmation, correspondence or other document, (b) related to any online registration, response to any Request for Bid, Request for Proposal, Request for Information, or other questionnaire, or (c) related to any invoicing process that you submit or require us to complete. If the terms of this document are inconsistent with the terms contained in any Policy, the terms contained in this document will control, except that the Service Terms will control over this document.
13.3 Force Majeure.We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, electrical or power outages, utilities or other telecommunications failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.
13.4 Governing Law. The laws of Rebublic of Korea, without reference to conflict of law rules, govern this Agreement and any dispute of any sort that might arise between you and us. The United Nations Convention for the International Sale of Goods does not apply to this Agreement.
13.5 Disputes. Any dispute or claim relating in any way to your use of the Service Offerings, or to any products or services sold or distributed by Virtual Lab will be resolved in Seoul Central District court of Rebublic of Korea. We and you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. Subject to Section 8.5, we and you both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
13.6 Trade Compliance.In connection with this Agreement, each party will comply with all applicable import, re-import, sanctions, anti-boycott, export, and re-export control laws and regulations, including all such laws and regulations that apply to a company of Rebulic of Korea.
13.7 Independent Contractors; Non-Exclusive Rights. We and you are independent contractors, and this Agreement will not be construed to create a partnership, joint venture, agency, or employment relationship. Neither party, nor any of their respective affiliates, is an agent of the other for any purpose or has the authority to bind the other. Both parties reserve the right (a) to develop or have developed for it products, services, concepts, systems, or techniques that are similar to or compete with the products, services, concepts, systems, or techniques developed or contemplated by the other party, and (b) to assist third party developers or systems integrators who may offer products or services which compete with the other party’s products or services.
13.8 Language.All communications and notices made or given pursuant to this Agreement must be in the English language. If we provide a translation of the English language version of this Agreement, the English language version of the Agreement will control if there is any conflict.
13.9 Confidentiality and Publicity. You may use “Materials Square” Confidential Information only in connection with your use of the Service Offerings as permitted under this Agreement. You will not disclose “Materials Square” Confidential Information during the Term or at any time during the 5-year period following the end of the Term. You will take all reasonable measures to avoid disclosure, dissemination or unauthorized use of “Materials Square” Confidential Information, including, at a minimum, those measures you take to protect your own confidential information of a similar nature. You will not issue any press release or make any other public communication with respect to this Agreement or your use of the Service Offerings.
13.10 Notice.
(a) To You. We may provide any notice to you under this Agreement by: (i) posting a notice on the “Materials Square” Site; or (ii) sending a message to the email address then associated with your account. Notices we provide by posting on the “Materials Square” Site will be effective upon posting and notices we provide by email will be effective when we send the email. It is your responsibility to keep your email address current. You will be deemed to have received any email sent to the email address then associated with your account when we send the email, whether or not you actually receive the email.
(b) To Us. To give us notice under this Agreement, you must contact Virtual Lab as follows: (i) by telephone to +82-2-3293-0204 ; or (ii) by personal delivery, overnight courier or registered or certified mail to Virtual Lap, Inc., (02792) 961c H-1, Hwarang-ro 14-gil, Seongbuk-gu, Seoul, Rebulic of Korea. We may update the telephone number or address for notices to us by posting a notice on the “Materials Square” Site. Notices provided by personal delivery will be effective immediately. Notices provided by facsimile transmission or overnight courier will be effective one business day after they are sent. Notices provided registered or certified mail will be effective three business days after they are sent.
13.11 No Third-Party Beneficiaries. Except as set forth in Section 9.1, this Agreement does not create any third-party beneficiary rights in any individual or entity that is not a party to this Agreement.
13.12 Government of Republic of Korea Rights. The Service Offerings are provided to the Government of Republic of Korea as “commercial items,” “commercial computer software,” “commercial computer software documentation,” and “technical data” with the same rights and restrictions generally applicable to the Service Offerings. If you are using the Service Offerings on behalf of the Government of Republic of Korea and these terms fail to meet the needs of the Government of Republic of Korea or are inconsistent in any respect with the law of Republic of Korea, you will immediately discontinue your use of the Service Offerings.
13.13 No Waivers. The failure by us to enforce any provision of this Agreement will not constitute a present or future waiver of such provision nor limit our right to enforce such provision at a later time. All waivers by us must be in writing to be effective.
13.14 Severability. If any portion of this Agreement is held to be invalid or unenforceable, the remaining portions of this Agreement will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from this Agreement but the rest of the Agreement will remain in full force and effect.
14. Definitions.
“Account Information” includes names, usernames, phone numbers, email addresses and billing information associated with your “Materials Square” account.
“API” means an application program interface.
“Materials Square Confidential Information” means all nonpublic information disclosed by us, our affiliates, business partners or our or their respective employees, contractors or agents that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential. “Materials Square” Confidential Information includes: (a) nonpublic information relating to our or our affiliates or business partners’ technology, customers, business plans, promotional and marketing activities, finances and other business affairs; (b) third-party information that we are obligated to keep confidential; and (c) the nature, content and existence of any discussions or negotiations between you and us or our affiliates. “Materials Square” Confidential Information does not include any information that: (i) is or becomes publicly available without breach of this Agreement; (ii) can be shown by documentation to have been known to you at the time of your receipt from us; (iii) is received from a third party who did not acquire or disclose the same by a wrongful or tortious act; or (iv) can be shown by documentation to have been independently developed by you without reference to the “Materials Square” Confidential Information.
“Materials Square Content”means Content we or any of our affiliates make available in connection with the Services or on the “Materials Square” Site to allow access to and use of the Services, including APIs; WSDLs; Documentation; sample code; software libraries; command line tools; proofs of concept; templates; and other related technology (including any of the foregoing that are provided by our personnel). “Materials Square” Content does not include the Services or Third-Party Content.
“Materials Square Marks” means any trademarks, service marks, service or trade names, logos, and other designations of “Materials Square” and its affiliates that we may make available to you in connection with this Agreement.
“Materials Square Site” means https://www.materialssquare.com (and any successor or related site designated by us), as may be updated by us from time to time.
“Content” means software (including machine images), data, text, audio, video or images.
“Documentation” means the user guides and admin guides (in each case exclusive of content referenced via hyperlink) for the Services located at https://docs.materialssquare.com (and any successor or related locations designated by us), as such user guides and admin guides may be updated by Virtual Lab from time to time.
“Indirect Taxes”means applicable taxes and duties, including, without limitation, VAT, Service Tax, GST, excise taxes, sales and transactions taxes, and gross receipts tax.
“Losses” means any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees).
“Policies” means the Acceptable Use Policy, Privacy Policy, the Site Terms, the Service Terms, the Trademark Use Guidelines, all restrictions described in the “Materials Square” Content and on the “Materials Square” Site, and any other policy or terms referenced in or incorporated into this Agreement, but does not include whitepapers or other marketing materials referenced on the “Materials Square” Site.
“Privacy Policy”means the privacy policy located at http://www.materialssquare.com/privacy (and any successor or related locations designated by us), as it may be updated by us from time to time.
“Service” means each of the services made available by us or our affiliates, including those web services described in the Service Terms. Services do not include Third-Party Content.
“Service Attributes” means Service usage data related to your account, such as resource identifiers, metadata tags, security and access roles, rules, usage policies, permissions, usage statistics and analytics.
“Service Offerings”means the Services (including associated APIs), the “Materials Square” Content, the “Materials Square” Marks, and any other product or service provided by us under this Agreement. Service Offerings do not include Third-Party Content.
“Suggestions”means all suggested improvements to the Service Offerings that you provide to us.
“Term” means the term of this Agreement described in Section 7.1.
“Termination Date” means the effective date of termination provided in accordance with Section 7, in a notice from one party to the other.
“Third-Party Content” means Content made available to you by any third party on the “Materials Square” Site or in conjunction with the Services.
“Your Content” means Content that you or any End User transfers to us for processing, storage or hosting by the Services in connection with your “Materials Square” account and any computational results that you or any End User derive from the foregoing through their use of the Services.
“Your Submissions” means Content that you post or otherwise submit to developer forums, sample code repositories, public data repositories, or similar community-focused areas of the “Materials Square” Site, or any other part of the “Materials Square” Site that allows third parties to make available software, products or data.
